Our M&A Services
RO LAW LLC provides transaction counsel for small business acquisitions, sales, and deal structuring. We handle the legal work and coordinate closely with your CPA and financial advisors to ensure a smooth deal from LOI through closing.

M&A Strategy Consultation — $400.00 A one-hour paid consultation to evaluate your deal, discuss structure, identify risks, and map out next steps. The $400.00 fee is credited toward your engagement if you retain RO LAW LLC.

Includes:
  • Pre-call review of your intake information
  • Deal structure overview (asset purchase vs. stock purchase vs. merger)
  • Preliminary legal risk assessment
  • Timeline and process walkthrough
  • Referral to CPA for financial review (if needed)
  • Written follow-up memo with recommended next steps

Asset Purchase Package — $5,000.00–$8,000.00 flat fee 
For transactions under $1,000,000. Covers the full legal process from due diligence through closing.

Includes:
  • Deal structuring and intake
  • Legal due diligence (review of up to 10 key documents)
  • Letter of Intent (draft or review)
  • Asset Purchase Agreement
  • Bill of Sale and assignment documents
  • Non-compete / Non-solicitation agreement
  • Closing coordination
  • Post-closing filing guidance

Fee depends on deal complexity:
  • Simple (under $250K, no real estate) — $5,000.00
  • Moderate ($250K–$500K, includes IP or lease) — $6,500.00
  • Complex ($500K–$1M, multiple assets/contracts) — $8,000.00

Full Deal Representation — $400.00 per hour or custom retainer 
For transactions over $1,000,000 or complex deal structures. Scoped individually after the M&A Strategy Consultation.

Available Add-Ons
  • Real estate lease negotiation — $1,200.00
  • Employment / workforce transition agreements — $800.00
  • Additional due diligence documents (beyond 10) — $400.00 per hour
  • Post-closing entity restructuring — $1,600.00
  • Earnout or seller financing agreement — $800.00
  • Expedited closing (under 30 days) — $1,500.00

What Happens After You Submit
Step 1 — Submission received. You will receive an automatic confirmation email immediately.
Step 2 — Attorney review within 2 business days.
Step 3 — Follow-up. You will receive a scheduling link for your M&A Strategy Consultation ($400.00). Payment is required to book. The fee is credited toward your engagement if you retain RO LAW LLC.
Step 4 — Engagement. After your consultation, you will receive an engagement letter and payment link if you choose to proceed with full representation.

Submitting this form does not create an attorney-client relationship. A signed engagement letter and payment are required to begin services.
